Specilize Cart Needed

I am looking for a cart that will enable the following;
It is not only a cart, but a upload/download tool.
It must;

1. Enable users to upload small sound files to the
server.
2. Catalog those files by group.
3. Enable other users to purchase the files and download
them.
4. Fee would be a flat fee per item and each submitting
user would realize a portion of the revenue.

I am wondering if there is anything close out there that
could be modified to suit this application.

I remember someone asking me this a few years back. I can't think of it right now, but just wanted to let you know that I am gonna go digging in my old emails and see if I can find it, then get back here to post it for you.

I'd look into Magento, it already offers downloadable products and it also has some upload functionality, however not in the way you need it. But making an extension wouldn't be too hard. I'd seriously recommend it.
